1. Scope

These Terms apply to every sale of perishable agricultural commodities and other products ("Products") by The Sisters Produce Inc. ("Seller") to any purchaser ("Buyer"). By placing an order, Buyer accepts these Terms. Terms in Buyer's purchase orders or other documents do not apply unless Seller agrees to them in writing.

2. Orders

The minimum order is 100 cases. All orders are subject to availability and are binding only after Seller confirms them by email, text, WhatsApp or invoice. Seller will not substitute products without Buyer's approval.

3. Prices

Prices are in U.S. dollars, FOB Miami, Florida, unless otherwise agreed in writing. Weekly price lists and prices on this website are for reference only. They may change without notice because of market conditions and are binding only once confirmed for a specific order. Prices do not include delivery charges or applicable taxes.

4. Pickup, Delivery and Risk of Loss

On FOB Miami sales, Buyer or its carrier picks up at Seller's facility, and title and risk of loss pass to Buyer when the Products are loaded. Seller delivers within Miami-Dade County for $160 per pallet. Delivery to other areas is available at a rate and schedule agreed in writing before shipment. On delivered orders, risk of loss passes to Buyer when the Products are tendered at Buyer's designated location. Delivery times are estimates. Once risk of loss passes, Buyer is responsible for proper refrigeration and handling.

5. Inspection and Claims

Buyer must inspect the Products upon receipt. Any claim for quality, condition or shortage must be reported to Seller in writing (email or WhatsApp) within 24 hours of receipt, unless a different period is agreed in writing for a specific order. The claim must include the invoice number and clear photos showing the product, labels and case count. Either party may request a USDA inspection. Disputes about condition will be resolved under the PACA good delivery standards (7 C.F.R. Part 46). Buyer may not discard, resell or return rejected Products without Seller's written consent, and must protect them in the meantime. Products not timely claimed are deemed accepted. Seller's liability is limited to replacing, crediting or refunding the price of the affected Products. Seller is not liable for lost profits or consequential damages.

6. Payment

Unless Seller has approved credit, payment is due before or at pickup or delivery. Seller accepts business checks (subject to clearance), ACH or wire transfer, Zelle and major credit cards.

7. Credit

Seller may extend credit at its sole discretion after Buyer completes Seller's credit application. Seller may request trade references and additional security. Credit terms must be agreed in writing before the sale and will never exceed 30 days from Buyer's receipt of the Products. If an account is past due, Seller may suspend credit, require prepayment or hold orders.

8. Late Payment

Past-due balances accrue interest at 1.5% per month (18% per year), or the maximum rate allowed by law if lower. Buyer agrees to pay all costs of collection, including reasonable attorney's fees and court costs. Returned payments are subject to the service charges permitted by Florida law.

9. PACA Trust

The perishable agricultural commodities listed on Seller's invoices are sold subject to the statutory trust authorized by section 5(c) of the Perishable Agricultural Commodities Act, 1930 (7 U.S.C. 499e(c)). The seller of these commodities retains a trust claim over these commodities, all inventories of food or other products derived from these commodities, and any receivables or proceeds from the sale of these commodities until full payment is received. Interest, attorney's fees and collection costs under these Terms are sums owing in connection with the sale and form part of Seller's PACA trust claim.

10. Force Majeure

Seller is not liable for delays or failures caused by events beyond its reasonable control, including weather, crop conditions, transportation or port disruptions, and government action.

11. Governing Law

These Terms are governed by the laws of the State of Florida and applicable federal law, including PACA. Any dispute will be heard in the courts located in Miami-Dade County, Florida. This does not limit either party's rights to file a reparation complaint with the USDA under PACA.

12. Website and Privacy

Contact information you submit, such as for our weekly price list, is used only to respond to you and send our prices, and you may unsubscribe at any time.
